			<content:encoded><![CDATA[<p><strong>CHICAGO, IL, March 17, 2011</strong> -Winston &amp; Strawn, LLP announced today that it is being joined by more than 40 Howrey intellectual property and commercial litigation attorneys whose groups complement Winston&#8217;s own global IP and litigation practices. </p>
<p>A sizeable percentage of the new partners expected to join Winston are currently resident in the Houston office of the former Howrey law firm, a number of whom had practiced with Arnold, White &amp; Durkee before its merger with Howrey in 2000. Adding a Houston presence will raise Winston&#8217;s total number of offices to 15.</p>

<p>Since 2008, Winston has opportunistically established a significant presence in such growing markets as Beijing, Charlotte, Hong Kong, and Shanghai. 			<content:encoded><![CDATA[<p><strong>Washington, DC, March 16, 2011 1:00 p.m. EDST</strong> &#8212; <a href='http://www/winston.com/index/ctm?contentID=16235'>Elizabeth Papez</a>, a litigation partner and member of Winston &amp;  Strawn&#8217;s nationwide appellate and critical motions practice, delivered a bar-accredited presentation to the Firm’s global partnership this past weekend on some of the key business and civil practice cases before the U.S. Supreme Court this Term.</p>
<p>The presentation began with coverage of the Court’s recent decisions in two federal preemption cases that could have significant practical implications for business and industry.  Papez then covered civil practice cases involving commercial arbitration rights, state court jurisdiction over foreign corporations, and the extent to which U.S. courts can create private rights of action against corporate defendants before addressing the biggest class action, securities, and patent cases before the Court:  <strong><em>Walmart v. Dukes, Smith v. Bayer, Janus Capital v. First Derivative Traders</em>,</strong> and <strong><em>Microsoft v. i4i</em></strong>.     </p>
<p>Papez also covered some important labor decisions, including the Court’s recent decision on cat’s paw liability in Staub v. Procter Hospital, as well as an important False Claims Act case, Schindler v. US ex rel Kirk, the commercial and jurisdictional significance of which Papez recently addressed in a Federalist Society SCOTUScast. 			<content:encoded><![CDATA[<p><strong>Sullivan Addresses Attorney-Client Privilege in the Corporate Setting<br />
</strong><br />
William Sullivan, a litigation partner based in Winston &amp; Strawn&#8217;s Washington, D.C. office, was quoted in Corporate Counsel on March 8, 2011. The article, &#8220;Court to Rule in Case of Imprisoned U.K. Exec That Carries Major Privilege Implications,&#8221; addresses how far prosecutors can go to pierce a corporate executive&#8217;s attorney-client privilege.</p>
<p>Mr. Sullivan, who has testified twice before the House Judiciary Committee regarding the protection of the attorney-client privilege, drew on United States of America v. Ian P. Morris which involves Morris, former CEO of the Morgan Crucible Co., who was convicted of price-fixing on carbon products. Federal prosecutors used the company&#8217;s outside counsel to testify against and convict Morris.  The case is now before the Court of Appeals for the 3rd Circuit. The appeal will go before a three-judge panel, without oral argument, on March 15, 2011.</p>
<p>&#8220;The conviction creates deeply troubling implications for the attorney-client privilege in the corporate setting,&#8221; said Bill. Sullivan commenting on the case. &#8220;The district court inexplicably permitted the government to puncture Norris&#8217; attorney-client privilege, by allowing the government to present at trial his former defense attorney in order to elicit Norris&#8217; privileged communications, even when documents and testimony firmly established the vitality of their attorney-client relationship,&#8221; he concluded.</p>

<p>This interactive program examines the strategic<br />
decision making required when businesses face<br />
lawsuits from “patent trolls” — entities who pos-<br />
sess but don’t innovate based on patent holdings. </p>
<p>Winston &amp; Strawn partner Gene Schaerr scored a huge win at the U.S. Court of Appeals for the Federal Circuit, overturning a $34 million East Texas jury verdict against Hyundai &#8211; which always alleged that the patent owned by the patent holding company, Orion IP, was &#8220;junk.&#8221;  Who was Orion&#8217;s owner/manager?  An infamous patent troll by the name of Erich Spangenberg, who is deeply litigious.</p>
<p> Gene Schaerr and Jacob Loshin will give an insider&#8217;s look at how the case was litigated successfully.  Based on their experience in this and other cases, they will suggest strategies for avoiding the land mines presented by this kind of litigation.  They will also discuss when hard-fought litigation may be more appropriate&#8211;and ultimately less expensive&#8211;than settlement. </p>

<p>WASHINGTON, D.C. — Winston &amp; Strawn LLP announced today that highly regarded litigator and advisor, Elizabeth P. Papez, will join the firm as a partner this fall.  Papez recently served as Deputy Assistant Attorney General in the U.S. Justice Department’s Office of Legal Counsel and as law clerk to U.S. Supreme Court Justice Clarence Thomas.  Also a former appellate and commercial litigation partner at Kirkland &amp; Ellis LLP, Papez brings to Winston a formidable combination of experience in the Executive Branch and private practice as well as a rare and coveted perspective on the judiciary and top-level appellate work.<br />
As Deputy Assistant Attorney General from 2007 to 2009, Papez advised senior officials at the White House and Executive Branch agencies on a wide range of legislative, regulatory, and enforcement matters concerning financial regulation, national security, intellectual property, and other areas now governed by, among other things, the recently-amended False Claims Act (FCA), the Dodd-Frank Wall Street Financial Reform Act, the Patient Protection &amp; Affordable Care Act (PPACA or Health Reform Bill), and the Foreign Investment &amp; National Security Act (FINSA).  She also testified and briefed members of Congress on matters concerning pharmaceutical and intellectual property regulation, government contracting, and whistleblower rights, and represented the United States in several federal appeals before working on a wide range of current legal issues and trends at the Supreme Court.<br />
As a litigator at Kirkland from 2000 to 2007, Papez represented corporate clients in appellate, commercial, and regulatory matters involving federal and state constitutional questions, complex commercial and procedural issues, antitrust, securities, and bankruptcy-related disputes, corporate and consumer fraud, contract, and product claims, and trade and telecommunications regulation.  Prior to entering private practice, Papez served as a research analyst in the National Security and International Affairs Division of the White House Office of Science and Technology Policy and as law clerk to the Honorable Danny J. Boggs on the U.S. Court of Appeals for the Sixth Circuit.<br />

An Old Case Haunts The FDIC’s Bank-Closers</p>

The Dodd-Frank Act gives the Federal Deposit Insurance Corp. broad new powers to liquidate banks it thinks are insolvent. A 17-year-old lawsuit against the FDIC shows just how messy things can can get if the agency jumps the gun. The lawsuit also raises an important question: Is the FDIC an arm of the government, or something entirely different?</p>
<p>The Federal Circuit Court of Appeals in Washington is currently mulling Slattery v. United States, a lawsuit by shareholders in Meritor, a Philadelphia savings and loan the FDIC seized and liquidated at the tail end of the savings-and-loan crisis in 1992. The Court of Federal Claims ordered the FDIC to pay $372 million in 2003, agreeing with Meritor investors that the agency had violated a contract that gave the institution a break from certain capital requirements in exchange for buying the failing Western Savings in 1982. The award was subsequently reduced to $276 million.</p>
<p>In the appeal, the federal government has taken an unusual stance: It says it doesn’t need to pay the judgment because the FDIC isn’t an arm of the federal government, and never should have been sued in the Court of Claims in the first place. That court was set up in 1855 to hear claims against the federal government over taxes, contracts and the taking of private property.</p>
<p>In its briefs, the government maintains the FDIC is funded by the fees it levies on banks, not tax dollars. That makes it a Non-Appropriated Fund Instrumentality, the equivalent to the commissary on a military base. If true, the case should be lodged in federal district court, not the specialized Court of Claims.</p>
<p>That stance disagrees with the position the FDIC itself has taken in earlier litigation and would come as a shock to most bank depositors, who assume FDIC deposit insurance  is backed by the full faith and credit of the government. The agency was set up with Congressional appropriations in 1935 and Congress ordered the Treasury to loan it up to  $30 billion if necessary during the S&amp;L crisis and pledged to back its obligations.</p>
<p>If the government succeeds — arguments on its appeal were heard in July — it isn’t out of the woods. Merit investors will surely refile their suit in federal court, and if they win again the FDIC will be on the hook for another $700 million in interest. The government doesn’t have to pay interest on judgments in the Court of Claims.</p>
<p>That would be a windfall for Meritor shareholders. The stock is currently trading for around $2.40 a share in the Pink Sheets. With 54.6 million shares outstanding, the Court of Claims judgment is worth about $5 a share. If Meritor is forced to relitigate in federal court and wins, it could be worth $18 a share.</p>
<p>In some important ways the Meritor case, as lawyers say, is sui generis. The conflict dates from the early days of the S&amp;L crisis, when regulators were desperate to close failing institutions without incurring huge costs. They signed a contract with Meritor providing for “regulatory goodwill,” a fantasy form of capital that bank examiners disliked and, according to e-mails Meritor uncovered, plotted to unwind.</p>
<p>“It was clear they breached the contract,” says Thomas Buchanan, a Winston &amp; Stawn lawyer who’s been doggedly pursuing the FDIC for more than a decade. “They just didn’t like it.”</p>
<p>The FDIC doesn’t do contracts like that any more and it has seized more than 280 banks in the current crisis without incident. But the FDIC has been embroiled in the $4 billion lawsuit over JP Morgan’s takeover of the failed Washington Mutual and Deutsche Bank sued the FDIC over how it handled $49 billion in mortgage-backed securities trusts containing WAMU loans.</p>
